Disclosure on Non-SEBI Regulated Activities and Other Regulated Activities

Sowilo Capital Advisors LLP (“Sowilo”) is registered with Securities and Exchange Board of India (SEBI) as a Category I Merchant Banker being certificate No.: INM000013235 under the SEBI (Merchant Bankers) Regulations, 1992, as amended from time to time.

In addition to SEBI-regulated merchant banking activities, Sowilo may undertake certain activities through separate business units, which are not regulated by SEBI (“non-SEBI regulated activities”). Such non-SEBI regulated activities are governed by other applicable financial regulators and/or other relevant authorities, as the case may be.

List of Non-SEBI Regulated Activities such as Merger & Acquisition (M&A), Advisory services, Cross Border M&A, Acquisition Financing, Joint Ventures (JVs), Private equity, Pre-IPO/Private Placements, venture capital fund raising, Strategic, corporate, and financial advisory services etc across multiple sectors, not falling within SEBI-regulated merchant banking activities.

Note

None of the SEBI investor protection mechanisms will be available for any grievances or disputes arising out of or pertaining to the non-SEBI regulated activities mentioned above.
